          <title>Grace to Retain Medical Program for Libby, Montana, Make Additional Donation to Local Hospital</title>

             COLUMBIA, Md., Apr 08, 2008 (BUSINESS WIRE) -- W. R. Grace &amp;amp; Co. (NYSE:GRA) today announced that it plans to
retain the Medical Program it established in 2000 to assist local
residents with medical needs resulting from their exposure to asbestos
from the former Grace mine located near the town of Libby, Montana.
&lt;p&gt;&quot;In talking to people in Montana last night, there seemed to be
confusion about our medical program,&quot; said William M. Corcoran, Vice
President. &quot;When we saw some of the comments in the press today, we
were surprised. We have made it clear for many years that we intend to
sustain the health care program when we emerge from Chapter 11 just as
we did when we went into bankruptcy.&quot;
&lt;/p&gt;
&lt;p&gt;The Libby Medical Program has been in effect since 2000. More than
800 people are currently enrolled in it and receive health care and
prescription drug coverage. Since 2000, Grace has spent more than $14
million on the program.

$250,000 to St. John&apos;s Lutheran Hospital in Libby, Montana. Since
2000, Grace has donated more than $2 million to St. John&apos;s to support

          <title>Grace Announces Settlement of Asbestos Personal Injury Claims</title>

             &lt;p&gt;    COLUMBIA, Md.--(BUSINESS WIRE)--April 7, 2008--W. R. Grace &amp;amp; Co.
(NYSE: GRA) today announced an agreement in principle that would
settle all present and future asbestos-related personal injury claims.
The agreement, reached with the Official Committee of Asbestos
Personal Injury Claimants, the Future Claimants Representative and the
Official Committee of Equity Security Holders, requires the following
assets to be paid into a trust to be established under Section 524(g)
of the United States Bankruptcy Code:&lt;/p&gt;
&lt;pre&gt;
    --  Cash in the amount of $250 million;

    --  Warrants to acquire 10 million shares of Grace common stock at
        an exercise price of $17.00 per share, expiring one year from
        the effective date of a plan of reorganization;

    --  Rights to proceeds under Grace&apos;s asbestos-related insurance
        coverage;

    --  The value of cash and stock under the litigation settlement
        agreements with Sealed Air Corporation and Fresenius Medical
        Care Holdings, Inc.; and

    --  Deferred payments at $110 million per year for five years
        beginning in 2019, and $100 million per year for ten years
        beginning in 2024; the deferred payments would be obligations
        of Grace backed by 50.1% of Grace&apos;s common stock to meet the
        requirements of Section 524(g).

reorganization and related documents with the Bankruptcy Court. The
plan will be subject to approval of its co-proponents, exit financing,

the expansion of its facility in Lake Charles, Louisiana.&lt;/p&gt;

(NYSE:GRA) has announced that it has completed the sale of its
washcoat product line and Cincinnati, Ohio site assets to Rhodia
Silcea. Grace&apos;s washcoat products are used primarily in the
manufacture of automotive control catalysts, an integral component of
catalytic converters for engines. The silica production based at the
Cincinnati facility has been transferred to Grace&apos;s Curtis Bay,

(NYSE:GRA) is expanding its R&amp;amp;D capabilities in Europe with the
official grand opening of an innovation center in Poznan, Poland
today. The celebration includes speeches by local government and
university officials and business executives, a tour of the facility
and a press conference.&lt;/p&gt;
&lt;p&gt;    The facility is currently staffed by nine Ph.D. scientists that
are developing new technology platforms and products for customers in
the construction and packaging industries. The center is fully
